Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 2, 2022, Allen I. Questrom, an independent Class II member of the Board of Directors (the “Board”) of Academy Sports and Outdoors, Inc. (the “Company”) notified the Company of his intention to retire and not seek re-election as a member of the Board effective upon the expiration of his current term at the Company’s 2022 Annual Meeting of Stockholders to be held on June 2, 2022 (the “2022 Annual Meeting”).

In addition, on March 2, 2022, Nate M. Taylor, a Class I member of the Board, notified the Company of his intention to resign from the Board, also effective at the 2022 Annual Meeting.

Messrs. Questrom's and Taylor's respective decisions to retire and resign are not due to any disagreement between them and the Company on any matter relating to the operations, policies or practices of the Company and are based solely on personal reasons to retire of Mr. Questrom and other work commitments and requirements of Mr. Taylor.
